In these Terms of Service, "we", "us", and "our" refer to OIOI DI GAIA CIONNINI, an Italian sole proprietorship (impresa individuale) with registered office at Via Borgo Tegolaio 5, 50125 Firenze (FI), Italy, operating the online store and brand OiOi Shop / OIOI.

We operate this store and website, including all related information, content, features, tools, products and services (the "Services"), to offer you jewellery and related goods. The Services are powered by Shopify Inc., which hosts the platform and provides technology to us—but your contract for purchases is with OIOI DI GAIA CIONNINI (OiOi Shop), as further described in Relationship with Shopify.

These Terms of Service ("Terms"), together with any policies we link to from these Terms, set out your rights and responsibilities when you use the Services.

Please read these Terms carefully. They contain important information including warranty disclaimers and limitations of liability.

SECTION 1 – ACCESS AND ACCOUNT

By using the Services you state that you are at least the age of majority in your place of residence (or you have valid parental/guardian consent where applicable).

You may need to provide information such as email, billing, payment, and shipping details. You promise that this information is accurate and complete at the time provided and that you are entitled to submit it.

You are responsible for safeguarding login credentials and for all activity on your account. You must not sell, transfer, or assign your account to someone else.

SECTION 2 – OUR PRODUCTS & ARTISAN NATURE

We aim to describe and photograph our jewellery fairly. Screen settings and lighting can affect how colours and finishes look; fine materials and hand finishing may involve normal micro-variations between pieces. Handmade and made‑to‑order work may require production time shown on the product page or confirmed after order.

We do not warrant that colours, textures or minor details will match every display or render exactly. Product listings, prices, materials, and availability may change without prior notice unless required otherwise by mandatory law. We may discontinue styles or limit quantities by customer, region, or case-by-case.

All designs, logos, and original creative content on the Services remain our intellectual property unless otherwise stated.

SECTION 3 – ORDERS

Placing an order is an offer to buy. We may accept, decline, or modify an order (including for stock, pricing error, fraud prevention, compliance, or feasibility of bespoke work).

An order is binding on us only once we confirm acceptance (typically after successful payment authorisation).

Please review your order before paying. Cancellation before shipment may not always be possible once production has started for custom work.

If we cancel or change an order we will try to notify you using the contact details provided at checkout.

Purchases are intended for personal use of the customer, not unauthorised commercial resale.

SECTION 4 – PRICES AND BILLING

Prices are those shown at checkout confirmation (subject to correction of obvious mistakes). Unless clearly stated otherwise, prices may be excluding shipping, handling, insurance, and applicable taxes, duties, customs—these are added or collected as shown at checkout according to your shipping address and law.

We may run promotions governed by additional terms; if they conflict with these Terms, the promotion-specific terms control for that promotion.

You must keep payment and account details current. You represent that you may lawfully use any payment method supplied and that charges will be honoured.

SECTION 5 – SHIPPING AND DELIVERY

Estimated delivery times are not guarantees. We are not liable for delays caused by carriers, customs, strikes, weather, pandemics, or other events outside our reasonable control.

Risk of loss for the goods passes to you according to the Incoterm / shipping terms shown at checkout where applicable, and in any case once the parcel is handed to the first carrier unless mandatory local consumer law provides differently.

SECTION 6 – INTELLECTUAL PROPERTY

The Services—including trademarks, logos, texts, images, videos, layout, and jewellery designs depicted (to the extent protected)—are owned by us or our licensors and protected by Italian, EU, and international intellectual property laws.

Except for normal personal browsing and ordering, you must not copy, scrape, reproduce, modify, distribute, publicly display, or exploit the Services or their content without our prior written consent.

OiOi Shop, OIOI, and associated marks are our trade identifiers; you may not use them without permission. Shopify names and marks belong to Shopify. Other names may belong to their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may embed or link to third-party tools (analytics, payments, reviews, etc.). These are provided "as is"; we do not control third parties. Your use of optional tools is at your risk and subject to the third party’s own terms. New features are part of the Services and fall under these Terms.

SECTION 8 – THIRD-PARTY LINKS

Third-party sites linked from the Services are independent from us. Visiting or buying from them is at your risk. Direct complaints about third-party goods to that third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

OiOi Shop is powered by Shopify.

Your purchase contract is solely with OIOI DI GAIA CIONNINI (OiOi Shop).

By using the Services you acknowledge that Shopify does not control our product quality, compliance with law, shipping, returns, or fulfilment, and is not liable for disputes over products you buy from us. You release Shopify and its affiliates from claims arising from your purchases with us, except where such a release is void under mandatory law.

SECTION 11 – FEEDBACK AND REVIEWS

If you submit feedback, reviews, suggestions, or content ("Feedback"), you grant us a royalty-free licence to use it to run, improve, and promote the Services, subject to any stricter rules under mandatory consumer or advertising law.

You warrant you have rights to the Feedback and that it does not infringe others’ rights or violate law. We may remove abusive, false, or infringing content. You remain responsible for its accuracy; we are not responsible for user posts by third parties beyond what the law requires.

SECTION 12 – ERRORS AND CORRECTIONS

We may correct typographical mistakes, pricing errors, or availability and may cancel or adjust orders relying on incorrect information, including after order placement, notifying you where feasible.

SECTION 13 – PROHIBITED USES

You may use the Services only lawfully and must not: break law; infringe IP; harass; send malware; spam; impersonate; interfere with security; use unmanaged bots/scrapers/automation contrary to our robots or security rules; or misuse the platform in ways harming us, Shopify, or users.

We may suspend or terminate access for breach.

SECTION 14 – AGENTS (AUTOMATED ACCESS)

If you operate an Agent (automated software accessing the Services):

It must clearly identify itself in HTTP User-Agent as Agent/[name].

It must not spoof humans, bypass security, or evade technical blocks.

We may restrict Agent access technically or in policy.

SECTION 15 – TERMINATION

We may suspend or terminate access to any part of the Services at our discretion. Obligations incurred before termination (e.g. payment for shipped goods) survive. Provisions that by nature should survive (IP, liability caps to the extent permitted, governing law, indemnity, etc.) survive.

SECTION 16 – DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Services and products are provided "AS IS" and "AS AVAILABLE", without warranties beyond those mandatorily implied for consumers in your country (such as legal conformity under EU / Italian rules for consumer sales, where you qualify as a consumer).

We do not warrant uninterrupted, error-free or attack-free operation of the Services.

SECTION 17 – LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, we shall not be liable for indirect, incidental, special, punitive, or consequential damages, lost profits, lost data, business interruption, beyond direct damages reasonably foreseeable—except where Italian or EU mandatory law (especially for consumers) imposes strict liability, non-waiver of certain claims, or sets minimum statutory guarantees for goods (e.g. lack of conformity under the Consumer Code / Sale of Goods rules where they apply).

Nothing in these Terms attempts to limit liability for death or personal injury caused wilfully or by gross negligence, fraud, or other cases non-waivable where you are a consumer.

Some jurisdictions disallow certain caps; those parts may not apply to you.

SECTION 18 – INDEMNIFICATION

You agree to defend and indemnify OIOI DI GAIA CIONNINI and its owner and assistants against reasonable third-party claims and related costs (including legal fees where recoverable) arising from your breach of these Terms, your unlawful use of the Services, or content you upload—except where EU/EEA mandatory consumer law forbids such an obligation for consumers acting only as private buyers.

We will endeavour to inform you of claims when practical. You will cooperate reasonably in defence where required.

SECTION 19 – SEVERABILITY

If a clause is invalid, the rest remains in effect; the invalid part is replaced by a valid provision closest to the intent.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Failure to enforce a term is not a waiver. These Terms plus linked policies are the main agreement regarding use of this online store, superseding prior shop-specific terms on the same subject.

SECTION 21 – ASSIGNMENT

You may not assign these Terms without our written consent. We may assign our rights and obligations (e.g. restructuring) with notice where required by law.

SECTION 22 – GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Italy, without regard to conflict-of-law rules that would point elsewhere.

If you are an EU consumer, you also benefit from non-waivable protections of your country of habitual residence. You may sue us in Italy or—in consumer cases where the law allows—in your country of residence. We may sue consumers in courts with jurisdiction under applicable law.

We may update these Terms by posting the new version on the Services with a refreshed Last updated date.

If we make material changes affecting you, we will provide notice as required by law (including by email where appropriate). Continued use after effectiveness may constitute acceptance. If you do not agree, stop using the Services.
